1. Agreement to Terms

Rasm Labs LLC provides technology consulting, custom software development, AI integration, cloud solutions, and related professional services. The specific scope, deliverables, timeline, and pricing for any engagement will be defined in a separate Statement of Work (SOW) or service agreement.

  • Not interfere with or disrupt the integrity or performance of our services

4. Intellectual Property

All content on our website, including text, graphics, logos, images, and software, is the property of Rasm Labs LLC or its content suppliers and is protected by intellectual property laws. You may not reproduce, distribute, modify, or create derivative works without our prior written consent.

4.2 Client Work Product

Unless otherwise specified in a separate agreement, upon full payment for services rendered, clients receive ownership of custom code and deliverables created specifically for their project. We retain ownership of our pre-existing tools, frameworks, and methodologies.

5. Payment Terms

Payment terms for professional services will be outlined in individual service agreements or Statements of Work. Generally:

  • Invoices are due within 30 days of receipt unless otherwise specified
  • Late payments may incur interest at the rate of 1.5% per month
  • We reserve the right to suspend services for overdue accounts

6. Warranties and Disclaimers

Our services are provided "as is" and "as available." While we strive to deliver high-quality work, we make no warranties, express or implied, regarding:

  • The uninterrupted or error-free operation of any software or systems
  • The fitness for a particular purpose beyond what is specified in our agreements
  • Results or outcomes from the use of our services

Professional services are warranted for the period specified in the applicable service agreement, typically 1 year from project completion.

7. Limitation of Liability

To the maximum extent permitted by law, Rasm Labs LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from:

  • Your use or inability to use our services
  • Any unauthorized access to or use of our servers or any personal information stored therein
  • Any interruption or cessation of transmission to or from our services

Our total liability for any claims arising under these Terms shall not exceed the amounts paid by you to us in the twelve (12) months preceding the claim.

8. Indemnification

You agree to indemnify, defend, and hold harmless Rasm Labs LLC and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from your use of our services or violation of these Terms.

9. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the course of our engagement. This obligation survives the termination of any service agreement.

10. Termination

We may terminate or suspend your access to our services immediately, without prior notice or liability, for any reason, including breach of these Terms. Upon termination, your right to use our services will cease immediately.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the appropriate courts of jurisdiction.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of any material changes by posting the new Terms on this page with an updated effective date. Your continued use of our services after such modifications constitutes acceptance of the updated Terms.

14. Severability

15. Entire Agreement

These Terms, together with any applicable service agreements or Statements of Work, constitute the entire agreement between you and Rasm Labs LLC regarding the use of our services and supersede any prior agreements.
